How does changing or canceling a subscription work?

Investors may increase, decrease, or cancel their subscription amount at any time prior to the subscription deadline of the VC. Investors that are subscribed with a subscription period of two or more quarters must meet their subscription period commitments before decreasing or canceling their subscription.

Investors can make updates to their subscription from their portfolio and from the VC’s info page. Unless it has been changed, an investors subscription amount and period will auto-renew so that after a subscription period ends, another subscription period of the same quarterly length and commitment amount begins. This is dependant on the investor having the required funds available.

How will the VC’s select investments?

Crypto VC’s on GOEMON will invest based on a number of different strategies, which they will highlight on their VC info page. They will usually highlight their core investing thesis and strategy. GOMEON VC’s focus on investing in Crypto, NFT and Web3 projects primarily.

Who manages these investment firms ?

Investment firms on GOEMON will run by experienced investment managers who have been vetted by GOEMONs verification team. This ensures complete safety and quality when it comes to any investment managers on our platform. GOEMON also make sure to undergo complete background checks on all the investment managers to validate all past claims and guarantee only the best investment managers are on the platform.

Do Crypto VC’s have minimum or maximum investment amounts?

The minimum investment per quarter is dependant on the Crypto VC. To view the minimum investment amount and period, check the VC’s info page.

What happens if Crypto VC’s do not invest their total capital each quarter?

A VC will deploy capital into investments right up until the end of its investment period, which usually take place at the end of a quarter. If any Crypto VC does not invest all of its investable capital during its investment period, any investors share of capital that is not held back for expenses may be automatically reinvested into the next quarter. These rollover amounts are treated as additional capital contribution on top of an investor existing quarterly subscription amount. Investors are not guaranteed rollover contributions and the Crypto VC may choose to distribute such amounts back to the investors at the end of the VC’s investment period.

When will investors learn about companies portfolios ?

There is no guarantee that investors in a Crypto VC will receive information about underlying portfolio companies that the VC invests in. Updates will be provided by the VC managers as necessary and depend on the VC’s investment strategy.

Can investors opt out of specific deals?

No. Investors are subscribing to invest quarterly to allow them to gain access to the VC's investments. Investors cannot choose whether to invest in specific deals. All deals taken by the VC, will be taken by investors as standard.

How do management and admin fees work?

The Crypto VC’s offered through GOEMON, each pay a management fee in an amount equal to 2% for the quarterly capital’s 10-year life. The management fee is paid quarterly over the VC’s first four years. GOEMON may reduce or waive fees for certain investors and not others. In addition to the management fee, each crypto VC may reserve and pay venture capital expenses, for example, fees for submitting regulatory filings. Such additional VC expenses are generally not expected to be material.

How does carried interest work?

Carried interest varies from deal to deal but is most commonly 20%. Generally, 15% carry will be paid to the investment manager and 5% will be shared to GOEMON platform.

Will an investor participate in all investments made by the Crypto VC?

An investor will only participate in investments made by the Crypto VC’s which come after the investors subscription is accepted. If an investor cancels or fails to pay for their subscription, the investor will no longer be involved in future investments made by the VC (subject to any reinvestment of rollover capital). A failure of subscription may requires to pay 5% more carry fees to investment managers as penaltie fees.

Will an investor’s percentage ownership of quarterly capital’s always be the same?

No. An investors initial share of VC’s may change quarter-to-quarter depending on the changes in its subscription amount and the subscriptions made by other investors each quarter. For example, if new investors join the Crypto VC over time and an existing investor does not increase their subscription amount, their percentage share will therefore decrease .

How are subscriptions funded?

Subscriptions are paid either through credit card or USDC using a Web3 wallet linked through the GOEMON Platform. Investors must commit their subscriptions by the deadline indicated by the Crypto VC. If an investor authorizes payment of its subscription and the investors GOEMON account balance doesn't cover the investors full subscription, the remaining balance will be missed and the payment will fail. Investors will generally transfer their subscription amount once per quarter, before the beginning of the next quarter.

Can we refund “share NFT” ?

If your subscribed VC haven’t deployed recieved capital yet, you can communicate with investment managers to ask for refund to give back your share NFT. Once your capital has already deployed, it is unabled for refund.
